TERMS & CONDITIONS
This Agreement is made between DreamBrandCreate Inc.(“Seller”) and the undersigned ("Buyer").
1. Product Overview
Products Covered: This agreement pertains to the supply of color cosmetics (including products for lips, eyes, face, and brows), makeup tools (including brushes, bags, accessories, and sponges), fashion accessories (including handbags, hats, jewelry, and hair accessories), and promotional merchandise (branded lifestyle products).
Customization: All products listed on www.dreambrandcreate.com are non-branded and can be personalized.
Customization options are detailed on each product page, and each product will be manufactured according to the customization details entered by the Buyer.
2. Pricing and Payment
Payment: For orders under $20,000 full payment is required at the time of ordering to initiate production.
For orders exceeding $20,000 select the "Bank Deposit (For Orders Over $20,000)" payment option at checkout. The Seller will contact the Buyer within 24 hours to arrange a 50% deposit via bank transfer, with the remaining balance due upon order completion.
Accepted Payment Methods: We accept Visa, Mastercard, Shop Pay, Bank Transfers, and PayPal.
Pricing: Final prices vary depending on the type of customization details entered by the Buyer. The base price for each product is displayed on its respective page.
Sales Tax Exemption: All purchases are subject to sales tax. To qualify for sales tax exemption, the Buyer must provide a valid resale certificate. Upon review and acceptance of the Buyer’s certificate, the Seller shall reimburse the tax charged on the Buyer's initial and subsequent purchases. 3. Delivery and Shipping
Delivery Terms: We operate under EXW (Ex Works) Freight Collect terms. The Buyer is responsible for all costs and risks associated with transporting the goods from our premises. These costs include shipping fees, insurance, and customs duties.
Shipping Methods: While the Buyer is responsible for all related transportation costs, the Seller will facilitate the coordination and booking of shipments. We utilize major carriers such as UPS, FedEx, and DHL for international air shipments. For larger orders, ocean shipping options are available through our freight forwarding partners and can be arranged upon the Buyer’s request.
Customs and Compliance: The Buyer must ensure compliance with the importing regulations of their destination country. The Seller will provide all standard Material Safety Data Sheets (MSDS) and necessary shipping documents required by U.S. regulations for cosmetic products.
Estimated Delivery Times: Delivery times are calculated once we receive your signed artwork proof:
Premium Private Label: 25-40 business days.
Standard Custom: 45-60 business days.
Shipping Coordination: Once the order is ready, the Seller will contact the Buyer to confirm the delivery address and provide an estimated shipping cost. Full payment for shipping costs is required before the goods are released.
4. Product Quality and Defects
Defect Definition: A product is considered defective if it arrives with physical damage due to poor manufacturing, fails to perform as advertised, shows signs of contamination, or is not the product ordered.
Quality Inspection & Reporting: The Buyer shall report any defects within 5 business days of receiving the product. The report should include a description, and photos of the defect(s) and be emailed to Support@DreamBrandCreate.com along with proof of purchase.
5. Warranties and Guarantees
Quality Promise: We stand behind the quality of our products. If a product does not meet quality standards, please contact our support team for a potential replacement or refund.
6. Returns and Refunds
Return Conditions: Returns are accepted only for defective or unopened products; due to hygiene concerns. If a defect is reported and accepted by the Seller, the item must be returned within 7 business days in its original packaging.
Refund Process: Refunds are issued after the returned product is inspected and will be processed to the original form of payment.
7. Compliance with Laws.
Buyer shall at all times comply with all Laws applicable to this Agreement, Buyer’s performance of its obligations hereunder, and Buyer’s use or sale of the Goods. Without limiting the generality of the foregoing, Buyer shall (a) at its own expense, maintain all certifications, credentials, licenses, and permits necessary to conduct its business relating to the purchase, use, or resale of the Goods and (b) not engage in any activity or transaction involving the Goods, by way of resale, lease, shipment, use or otherwise, that violates any Law.
8. Limitation of Liability
Scope of Liability: The Seller’s liability is limited to direct damages caused by the Seller’s products unless such damages result from our negligence or misconduct. The Seller is not responsible for indirect or consequential damages such as lost profits.
Additional Liability Information: Upon delivery and acceptance of goods, the Buyer shall, at its own expense, maintain and carry in full force and effect commercial general liability insurance (including product liability coverage). The Seller is not liable for any claims arising after the products have been delivered and accepted.
Product Use: The Seller is not liable for issues that arise from unauthorized use or improper storage of products that do not comply with provided instructions.
9. Intellectual Property
IP Rights: The Buyer retains rights to any trademarks and intellectual property used on the customized goods.
10. Dispute Resolution
Consent to Use Product Images: By entering into this agreement, the Buyer grants the Seller a non-exclusive, royalty-free license to use images of products manufactured for the Buyer in the Seller’s marketing materials. This includes, but is not limited to, use in online galleries, promotional emails, social media posts, and advertisements.
Purpose of Use: The images may be used for the purpose of promoting and demonstrating the capabilities and range of services offered by the Seller. This includes showcasing the quality and diversity of products the Seller can produce.
Rights and Limitations: The Seller agrees to use these images in a respectful and professional manner, ensuring that the use does not misrepresent the Buyer’'s brand or the integrity of the product. The Seller acknowledges that the Buyer retains ownership of the product design and related intellectual property.
Withdrawal of Consent: The Buyer may withdraw consent for future use of the images by providing written notice to the Seller. Upon receipt of such notice, the Seller will cease to use the new images for marketing purposes within a reasonable timeframe; however, the Seller may continue to use materials already in circulation for a period of up to 90 days from the date of the notice.
Indemnification: The Buyer agrees to indemnify and hold harmless the Buyer from and against any claims, damages, liabilities, costs, and expenses arising from the use of the images as permitted herein.
11. Force Majeure
Clause: Neither party is responsible for delays caused by events beyond their control, such as natural disasters or unforeseen governmental restrictions.
